The shareholder derivative lawsuit brought on behalf of Maxwell Technologies, Inc. has settled. The terms of the proposed settlement are set forth in the Stipulation of Settlement, a copy of which is included below. See Stipulation of Settlement, Ex. A. The Court has granted preliminary approval to the Settlement and set a hearing date of March 16, 2015 at 10:30 a.m. to consider whether final approval of the Settlement should be approved.
